SONAMINES enters into the Share Capital of SINOSTEEL CAM S.A.

On Friday, 7 November 2025, the shareholders of SINOSTEEL CAM S.A signed an agreement at the Head Office of the National Mining Corporation that will specifically govern their relations, in addition to taking into account the specific agreements established in favour of the State. It should be noted that this agreement is based on the OHADA Uniform Act on the rights of commercial companies, which allows shareholders to enter into extra-statutory agreements to structure the economics of their relations.
On this occasion, the Chinese company was represented by its Chief Executive Officer, Mr WANG TI, and the State of Cameroon by its representative, the General Manager of SONAMINES, Mr Serge Hervé BOYOGUENO. The Shareholders' Agreement signed last Friday not only sets out the rights and obligations of shareholders with regard to corporate bodies, but equally enshrines the specific rights relating to the management and remuneration of State shareholding.
Moreover, it is important to note that last Friday's event is in line with the process that began on 9 October 2025, at the Chinese company's operating site in Kribi, with the holding of the General Meeting that endorsed the transfer of 10% of shares free of charge to the State by SINOSTEEL Corporation Ltd and AFRICA MINES, the third shareholder.
This formality, which follows the granting of the mining permit to SINOSTEEL CAM on 22 July 2022, confirms the State's integration as a shareholder in this company, in addition to the production share it will receive from the first year of commercial production of iron.
